Rare WAS an important Nintendo developer before it was LET GO to Microsoft as they didn't fulfil the new Nintendo policy: bringing new games out faster with less delay by producers between the release of new games to the previous be it sequel or other...
Though Rare is a good (or personally my favourite) games producer, they take too long when bringing out new releases as they concentrate on making their games the best they can be regardless of whether they get delayed for release.. which is not what gamers' have patience for... Thus the reason Nintendo let Rare go...

Yeah, but before that they offered Nintendo the chance to buy them out. Nintendo refused for the reasons you said, thus rare bought back the stock Nintendo had invested and were bought out by Microsoft.
